Legal entity
Autism Acceptance World (Autism Acceptance World) is a Nevada Public Benefit Corporation (PBC) in formation under NRS Chapter 78B. Autism Acceptance World is NOT a 501(c)(3) charitable organization. Pledges, memberships, and sponsorships are commercial transactions, not charitable donations.
Five lanes, two legal regimes
The 17 pledge tiers across 5 lanes split into two distinct legal categories:
Consumer transactions (Lanes 1, 2, 3)
- Family pledges + memberships are prepaid consumer service contracts. Held in escrow until venue opens per Nevada NRS 597.870-995 (physical fitness facility prepayment escrow law).
- Business sponsorships are B2B commercial contracts. Sponsor's accountant treats as marketing expense under IRC §162.
- Anyone can purchase these. No accreditation, no investor verification required.
- Refundable if the venue does not open by the stated drop-dead date.
Securities (Lanes 4, 5)
- Friends + Family equity (max 10% of Class B pool, ~3.3% of company) — Reg D Rule 506(b). Pre-existing relationship required, up to 35 non-accredited sophisticated investors plus unlimited accredited.
- Major Sponsor / Investor (up to total 33% Class B) — Reg D Rule 506(c). Accredited investors only, with verification. General solicitation permitted under 506(c), routed through the gated investor inquiry page.
- Form D filed with SEC within 15 days of first securities sale. Blue Sky notice filings in investor states.
Cap table structure (founder-control protected)
- Cash (founder) — 34% Class A super-voting (10:1 voting power)
- David (co-founder) — 33% Class A super-voting
- Outside equity (Class B non-voting) — capped at 33% total
- Even if the entire Class B pool is sold to one major investor, Cash + David retain over 75% combined voting control via the dual-class super-voting structure
What this means for you
- Pledging a Family or Movement tier: consumer transaction, no securities risk, refundable if venue does not open.
- Sponsoring as a Business Network member: commercial sponsorship contract, IRC §162 marketing-expense treatment, no charitable-donation framing.
- Inquiring about equity investment: securities offering, accredited-investor-only, verification required before any terms are shared, Form D filing on first close.
Public benefit purpose (NRS 78B)
The Autism Acceptance World PBC's stated public benefit purpose is to advance the wellbeing and integration of autistic children and their families through (a) the construction and operation of an autism-family destination in Las Vegas, (b) the publication of free tools and resources for autism families nationally, and (c) the support of autistic-led advocacy and programming in the broader autism community. The PBC board has a legal duty to balance financial performance with this public benefit purpose, and to report annually to shareholders on the pursuit of the public benefit.
Disclosure documents
The Subscription Agreement, Information Memorandum, and Form D filing will be available to verified accredited investors via the gated investor inquiry process. The PBC certificate of incorporation, bylaws, and public benefit report will be available to all members and stakeholders annually.
Counsel
Autism Acceptance World retains Nevada-based counsel for securities + PBC matters. All securities offerings will be made only after attorney review of the specific offering documents.
